Interesting thing appeared:
domU pv running with memory=512 and maxmem=4096

after kernel is booted i see in /var/log/messages
Memory: 377324k/4202496k available (4125k kernel code, 448k absent,
3824724k reserved, 1636k data, 640k init)

            total       used       free     shared    buffers     cached
Mem:           372        264        107          0         29
119
-/+ buffers/cache:        116        256
Swap:         4996          0       4996

xm list says that xen allocated 512M of ram to domain
Why xen steals 140M of memory?
