I think you should publish the overlays code that you have applied in the kernel, if that can help, from 3.5.0-rc6 I'm using this one: http://livenet.selfip.com/ftp/debian/overlayfs/overlayfs-v13_Linux_3.5.0- rc6.tar.xz never has given problems.
