All tested kernels had the same issue (2.6.22, 2.5.25.4 & 2.6.28.1).

tg3 0000:02:00.0: setting latency timer to 64
tg3 0000:02:00.0: PME# disabled
tg3 0000:01:00.0: PME# disabled
tg3: eth0: Link is up at 1000 Mbps, full duplex.
tg3: eth0: Flow control is off for TX and off for RX.
Now here it booted @ Gbit speeds!
