Just edit this section of the Makefile in your iptables source top directory to the following:
#PREFIX:=/usr/local
LIBDIR:=/lib
BINDIR:=/sbin
MANDIR:=/usr/share/man
INCDIR:=/usr/include
before you do the make and make install.
