Has someone 2.4.21 on qemu running?
I tried it with the config provided in
http://fabrice.bellard.free.fr/qemu/vl-test-0.4.1.tar.gz but without
luck.
Of course I patched the offset at the two locations. I see Uncompressing
Linux... Ok, booting the kernel and than eats the vl process my cpu and
does nothing at all.

I tried it and it works OK. Maybe for an obscure reason the serial
console is not activated.

The serial console was activated but I used the accidently the defconfig
of the kernel which don't works for the emulation AFAIK.
But now with the right config from 2.4.20 it boots but I have still
problems:
The problem occurs in arch/i386/kernel/time.c line 690

Try the version 0.4.1 of QEMU. It should solve the problem you have.
BTW, I found a QEMU bug with 2.4.x, but it occurs only if SMP is activated.
